Terms of Service

Effective date: 2 July 2026

These Terms govern access to and use of the Wlipper platform — the website, CRM, hotel-management system (HMS), Booking application, and central sign-in (the "Service") — provided by SAKO MANUFACTURING CO., LTD. ("Wlipper", "we", "us"), registered in Thailand (registered address available on request at support@wlipper.com). By creating an account, subscribing, or using the Service, you agree to these Terms. If operation of Wlipper is later transferred to a successor entity (e.g. Wlipper Co., Ltd.), these Terms continue to apply and customers will be notified.

1. The Service

Wlipper is a multi-tenant SaaS for hotel operations: property, room, and rate setup, bookings, inventory, guest records, OTA channel synchronization, custom domains, billing, support, and optional AI assistance. Features depend on your plan.

2. Accounts and access

  • You sign in through our authentication provider (WorkOS) and are responsible for safeguarding credentials and all activity under your account.
  • Owners and admins control staff membership and roles; you are responsible for who you grant access.
  • You must provide accurate account information and keep it current.

3. Your data and our role

  • Your account data is governed by our Privacy Policy.
  • Guest data you enter (including passport/ID documents for TM30 immigration reporting) is processed by us as your processor under the Data Processing Addendum provided at signup and incorporated into these Terms. You are the controller of guest data and responsible for collecting it lawfully and giving guests the required notices.
  • You confirm you have the right to enter all data you put into the Service and to instruct us to process it (including sending reservations to OTAs and, if you enable AI, sending text to AI providers).

4. Acceptable use

  • No unlawful use or infringement of others' rights.
  • No malware, security attacks, or attempts to access another hotel's data.
  • No reverse engineering, reselling, or sublicensing except as permitted.
  • No unlawful, abusive, or unsolicited communications through the Service.
  • Guest identity documents (TM30 data) may be used only for lawful hotel operation and immigration compliance.

5. Third-party services

The Service integrates third parties (WorkOS, Convex, Vercel, Stripe, OTA channel managers, and — when you enable AI — AI providers). Your use of those features may be subject to the third party's own terms; we are not responsible for services we do not control, including OTAs.

6. AI features

AI features are optional. AI output may be inaccurate — you are responsible for reviewing it before relying on it (for example, before applying a suggested room rate or sending generated text to a guest). AI features are provided without warranty as to accuracy.

7. Fees, billing, and taxes

  • Paid plans are billed through Stripe on a recurring monthly basis at the prices shown at checkout. Wlipper does not collect or store full card details.
  • Fees are non-refundable except where required by law or expressly stated.
  • Payment methods, invoices, plan changes, and cancellation are managed in the CRM Billing page / Stripe Customer Portal (owners and admins only).
  • Fees exclude taxes unless stated; you are responsible for applicable taxes.
  • Prices may change on prospective notice before your next renewal.

8. Custom domains

If you connect a custom domain, you authorize us to configure it with our hosting provider and you are responsible for your DNS records and your right to use that domain.

9. Suspension and termination

  • You may cancel at any time; access continues to the end of the paid period.
  • We may suspend or terminate for material breach (including non-payment or prohibited use) or as required by law, with notice where practicable.
  • On termination we make your data available for export for a limited period, then delete it per the Data Processing Addendum and our retention practices.

10. Availability, IP, disclaimers

We aim to keep the Service available but do not guarantee uninterrupted operation; the Service is provided on a commercially reasonable basis with no specific SLA unless agreed in writing. We and our licensors own the Service and related IP; you retain ownership of your data. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability & indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. You will indemnify us against claims arising from your data, your breach of these Terms, or your failure to collect guest data lawfully or give required notices.

12. Governing law and changes

These Terms are governed by the laws of the Kingdom of Thailand, and the courts of Thailand have exclusive jurisdiction, without prejudice to mandatory consumer or data-protection rights. We may update these Terms; material changes will be notified, and continued use after the effective date constitutes acceptance.
